Limited partnership act

What does a limited partnership require? How a limited partner can withdraw from a limited partnership? Changes to Legislation.

On being registered under this Act , a limited liability partnership becomes a body corporate with perpetual succession with a legal personality separate from that of its partners. Registered agent § 70. The new TBOC now applies to your partnership even if it was originally organized under TRLPA and even if you have not formally adopted TBOC. An act of a general partner which is not apparently for carrying on in the ordinary course the limited partnership’s activities or activities of the kind carried on by the limited partnership binds the limited partnership only if the act was actually authorized by all the other partners. LLP allows limited partners to enjoy limited personal liability while general partners retain unlimited personal liability.
